1. Introduction
These Terms & Conditions ("Terms") govern your use of the Shivasam Visuals website at www.shivasamvisuals.com (the "Website") and the services we provide. "Shivasam Visuals", "we", "us" and "our" refer to Shivasam Visuals, Thane, Maharashtra, India. "You" means any visitor, client, partner or other person using the Website or our services.
Our services include AI-native filmmaking; cinematic advertisements; brand and product commercials; social media reels; music videos; AI action, fantasy and short films; feature films, series and co-productions; pitch trailers and previsualisation; AI hosts and virtual presenters; event and wedding cinematics; visual effects; and creative concept development (the "Services"). By using the Website, submitting a form, requesting a quote or engaging our Services, you agree to these Terms.
2. Use of the Website
- You may browse the Website and watch embedded videos for personal, non-commercial purposes.
- You must not copy, download, re-upload, scrape, frame or redistribute any content on the Website (including videos, stills, slides, characters, text and logos) without our written permission.
- You must not use the Website to send unlawful, misleading, abusive or spam content, or attempt to disrupt or gain unauthorised access to it.
3. Services and Project Agreements
Each project is carried out on a project-by-project basis. Its scope, deliverables, timeline, revision rounds, usage rights and price are set out in a separate quote, proposal, purchase order or written agreement ("Project Agreement"). If a Project Agreement conflicts with these Terms, the Project Agreement prevails.
Information on the Website, including service descriptions and examples, is for general guidance and is not an offer. Any timelines and budget ranges discussed before a Project Agreement is signed are estimates.
4. Quotes, Payment and Cancellation
- Quotes are based on the information you provide and are valid for 30 days unless stated otherwise. They may change if the scope changes.
- Unless agreed otherwise, work begins after an advance payment, with milestone and final payments as set out in the Project Agreement. Final files are released once payment is received in full.
- Prices are in Indian Rupees and exclude GST and other applicable taxes unless stated.
- If you cancel after work has started, you will pay for work completed and any non-refundable costs incurred (such as software credits, licences or third-party fees). Advances are non-refundable once pre-production has begun, unless the Project Agreement says otherwise.
- Additional revisions or changes beyond the agreed scope will be quoted before we carry them out.
5. Client Materials and Consent
You confirm that you own, or have permission to use, any material you give us, such as scripts, logos, brand assets, photos, footage, music, voice recordings and likenesses ("Client Materials"), and that our use of them for your project will not infringe anyone's rights.
If a project uses the face, body, voice or name of a real person, you must provide that person's written consent (and a parent or guardian's consent for anyone under 18) before we begin. We may refuse or stop work if consent is not provided.
You agree to indemnify us against claims arising from Client Materials or from your use of the delivered work outside the agreed scope.
6. AI-Generated Content
- Some or all of a deliverable may be created with generative AI tools, together with traditional writing, editing and finishing. Every output is reviewed and refined by our team before delivery.
- AI outputs can vary. We aim for consistency of characters, products and locations, but minor variations may occur between shots, and identical results cannot be guaranteed if work is regenerated.
- We recommend, and may require, that AI-generated content is labelled as such where a platform or the law requires it (for example, YouTube's altered or synthetic content disclosure). You are responsible for complying with the rules of the platforms where you publish.
- Some AI tools have their own terms on commercial use. We use tools whose terms permit commercial use for the purpose agreed.
7. Projects We Do Not Accept
We do not create content that impersonates a real person or organisation without consent, deepfakes intended to deceive, defamatory or hateful content, sexual content involving minors, misleading political or news content, or anything else that is unlawful in India. We may decline or end any project that we reasonably believe falls into these categories.
8. Intellectual Property in Commissioned Work
Unless the Project Agreement says otherwise:
- On full payment, you receive the right to use the final delivered work for the purposes, territories, platforms and period set out in the Project Agreement. Ownership or wider rights can be assigned in writing.
- We keep ownership of raw files, prompts, working files, unused material, character and world designs that we created independently, and our tools and methods.
- We may show completed work in our portfolio, showreels, website and channels, unless you ask us in writing to keep it confidential.
- Music, fonts, stock or other third-party elements are licensed on the terms of their owners, which we will share with you where relevant.
9. Our Films and Original Content
Fault Lines, its sequel Fault Lines – Operation Chakravyuh, and our other original films, series, channels, characters (including the AI hosts Shakti and Aarav), songs, scripts, trailers, posters, stills and presentations are owned by Shivasam Visuals and protected by copyright and other laws. You may share links to our official videos, but you may not copy, re-edit, re-upload, translate, dub, screen publicly or use them commercially without our written licence.
All characters in our films are fictional and AI-generated. Any resemblance to real persons is coincidental, except where a real person has given consent.
10. Distribution, Co-Production and Partnership Enquiries
Discussions about distribution, exhibition, broadcast, streaming, co-production, sponsorship, investment or licensing of our films are not binding on either party until a written agreement is signed by both. Any presentation, budget or plan we share in these discussions is confidential and provided for evaluation only, and must not be shared further without our consent.
11. Private Screenings and Previews
Access to private screenings, preview links or unreleased material is given personally to the invited guest. Recording, photographing, copying or sharing any part of an unreleased film is prohibited and may be an offence under the Cinematograph Act, 1952 and the Copyright Act, 1957. Preview links may be watermarked and may be withdrawn at any time.
12. Unsolicited Ideas and Submissions
We develop many ideas internally. If you send us an unsolicited script, story, concept or other material, you agree that we are under no obligation to keep it confidential, to review it, or to compensate you, and that we may develop similar ideas independently. Please contact us first if you wish to submit material under a signed agreement.
13. Third-Party Platforms and Links
The Website embeds videos from YouTube, a map from Google Maps, and sends our contact forms by email through our own web hosting. It links to WhatsApp, Facebook and other sites. These services are run by third parties under their own terms and privacy policies, and we are not responsible for their content or availability.
14. Limitation of Liability
To the extent permitted by law, we are not liable for indirect, incidental, special or consequential loss, including loss of profit, revenue, data or goodwill, arising from the Website or our Services. Our total liability for any claim relating to a project is limited to the fees you paid us for that project. Nothing in these Terms limits liability that cannot be limited under Indian law.
The Website is provided "as is". We try to keep it accurate and available, but we do not guarantee that it will be uninterrupted or error-free.
15. Force Majeure
We are not responsible for delays or failures caused by events beyond our reasonable control, including outages or changes of AI tools, internet or power failures, natural events, epidemics or government action. We will tell you promptly and agree a revised timeline.
16. Governing Law and Disputes
These Terms are governed by the laws of India. The parties will first try to resolve any dispute through good-faith discussion. If it is not resolved within 30 days, the courts at Thane, Maharashtra, will have exclusive jurisdiction, unless the Project Agreement provides for arbitration.
17. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date. Projects already under a signed Project Agreement continue under the terms agreed at the time.
